Standards of Conduct

The Directors shall perform the “The Duty of Care and The Duty of Loyalty”. The “Duty of Care” consists of but is not limited to attendance at meetings; being informed on matters of consideration; research of matters prior to decision making; acting rationally and in good faith; and serving on committees. 

The “Duty of Loyalty” states that directors must always make decisions that are in the best interest of the Chamber. Directors are expected to:

•Ensure adherence to the Chamber’s mission.

• Attend and actively participate in all Board meetings and notify the Board President or executive assistant of anticipated absence.

• When absent from a meeting, review minutes and results of the missed meeting.

• Be prepared to fully participate in Board and committee meetings.

• Actively serve on at least one committee. • act only with the full Board, not individually unless authorized to do so by the full Board

• Speak for the full Board only when the full Board sanctions their doing so.

 

Code of Ethics Pledge

As a member of the Board of Directors, I will:

• Listen carefully to my teammates and those served by the Chamber.

• Respect the opinion of other Board members.

• Respect and support the majority decisions of the Board.

• Recognize that all authority is vested in the Board when it meets in legal session and not with individual Board members

• Keep well-informed of developments that are relevant to issues that may come before the Board.

• Participate actively in Board meetings and actions.

• Call to the attention of the Board any issues I believe will have an adverse effect on the Chamber or those members served.

• Attempt to interpret the needs of Chamber members and interpret the actions of the Chamber to its members.

• Refer member or staff complaints to the proper level on the chain of command.

• Recognize that the Board member’s job is to ensure that the Chamber is well managed, not to manage the Chamber.

• Vote to hire the best possible person as the executive assistant.

• Represent all members of the Chamber and not a particular geographic area or special interest groups.
